IMPORTANT — READ CAREFULLY BEFORE INSTALLING, DEPLOYING, OR USING THIS SOFTWARE.

This Proprietary Software License Agreement ("Agreement") is a legal contract between
you ("Licensee", "Customer", or "you") and ZyvorAI Labs Private Limited, a company
incorporated under the Companies Act, 2013 (India) ("Licensor", "Zyvor", "we", "us"),
for the PacketWolf / NetPredator software, documentation, container images, binaries,
eBPF objects, Helm charts, scripts (including deploy-remote.sh), and all related
materials (collectively, the "Software").

Licensor distributes the Software under the zyvor.dev brand. Incorporation is
evidenced by the Ministry of Corporate Affairs Certificate of Incorporation issued
via SPICE+ (reference AC3303222, dated 6 May 2026).

BY DOWNLOADING, CLONING, BUILDING, DEPLOYING, OR USING THE SOFTWARE, YOU AGREE TO BE
BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE.

1. GRANT OF LICENSE
   Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable
   license to use the Software solely for Licensee's internal business operations,
   subject to this Agreement and any separate written order or enterprise agreement
   signed with Licensor. No rights are granted except as expressly stated.

2. RESTRICTIONS — LICENSEE SHALL NOT:
   (a) copy, distribute, publish, sublicense, sell, rent, lease, or lend the Software
       to any third party;
   (b) make the Software available as a hosted service, SaaS, or managed offering to
       third parties without written permission from Licensor;
   (c) reverse engineer, decompile, disassemble, or attempt to derive source code,
       algorithms, or trade secrets from the Software, except where prohibited by law;
   (d) remove or alter copyright, license, or proprietary notices;
   (e) use the Software to develop a competing product or service;
   (f) disclose benchmarks, performance results, or security findings publicly without
       prior written consent;
   (g) deploy to production or customer environments without accepting this Agreement
       via the official deployment scripts or written acceptance recorded by Licensor.

3. OWNERSHIP AND TRADEMARKS
   The Software is licensed, not sold. Licensor retains all right, title, and interest
   in the Software, including all intellectual property rights. Licensee acquires no
   ownership rights. This Agreement does not grant any license to use Licensor's
   trademarks, service marks, logos, or trade dress, including without limitation
   "Zyvor", "zyvor.dev", "PacketWolf", "NetPredator", "Ragnarok", "Aether",
   "HyperSDK", and "GuestKit", except as required for reasonable nominative
   reference to describe compatibility. See legal/TRADEMARK-NOTICE.md in customer
   bundles (or docs/legal/ in the source repository).

4. CONFIDENTIALITY
   The Software and non-public documentation are confidential information of Licensor.
   Licensee shall protect them using at least the same degree of care used for its own
   confidential information, and shall not disclose them except to employees and
   contractors bound by written confidentiality obligations who need access for
   permitted use.

5. PROPRIETARY SOFTWARE; THIRD-PARTY COMPONENTS
   The Software is proprietary to Licensor. Licensor does not distribute the Software
   under Apache, MIT, LGPL, or similar open-source licenses. The Software may
   include third-party components (e.g., libraries) subject to their own licenses;
   see NOTICE files where provided. Those third-party licenses apply only to those
   components, not to Licensor's proprietary code, documentation, or binaries.
   Hosted services, trust and attestation features, commercial extensions, sovereign
   deployment packs, and AI automation packs are licensed only under this Agreement
   or a separate written enterprise agreement.

6. SUPPORT AND UPDATES
   Unless otherwise agreed in writing, Licensor has no obligation to provide support,
   maintenance, or updates. Any updates provided remain subject to this Agreement.

7. WARRANTY DISCLAIMER
   THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND,
   EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY,
   FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LICENSOR DOES NOT
   WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.

8. LIMITATION OF LIABILITY
   TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE LIABLE FOR
   ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF
   PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THIS
   AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. LICENSOR'S TOTAL
   AGGREGATE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SOFTWARE SHALL
   NOT EXCEED ONE HUNDRED PERCENT (100%) OF THE FEES PAID BY LICENSEE FOR THE SOFTWARE
   IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. SECURITY, ATTESTATION, AND CONFIDENTIAL COMPUTING
   Features relating to confidential computing, remote attestation, trusted execution
   environments (TEEs), hardware roots of trust, eBPF/kernel instrumentation, or
   network policy enforcement may reduce certain attack surfaces but do NOT guarantee
   absolute security or immunity from compromise. Licensee is solely responsible for
   architecture, configuration, key management, patching, and operational security.

10. AI AND AUTOMATION
    Any AI-generated recommendations, diagnostics, remediation suggestions, policy
    proposals, or automation outputs are advisory in nature. Licensee must review and
    approve changes before applying them in production. Licensor does not warrant
    accuracy or fitness of AI outputs and is not liable for autonomous actions taken
    by Licensee based on such outputs.

11. REGULATORY AND COMPLIANCE
    Licensee is solely responsible for determining whether deployments satisfy
    applicable regulatory, sovereign, sectoral, data-protection, export, or other
    compliance obligations. The Software does not by itself constitute legal or
    compliance advice.

12. EXPORT CONTROL AND SANCTIONS
    The Software may include or enable encryption and security capabilities subject
    to export control laws. Licensee shall not export, re-export, or use the Software
    in violation of applicable export control or sanctions laws (including India,
    UN, US, EU restrictions as applicable). Licensee represents it is not a prohibited
    end-user or located in a comprehensively embargoed jurisdiction without required
    licenses.

13. TERMINATION
    This Agreement terminates automatically upon breach by Licensee. Upon termination,
    Licensee must cease all use, destroy all copies, and certify destruction if
    requested. Provisions that by their nature should survive termination shall survive.

14. GOVERNING LAW AND JURISDICTION
    This Agreement is governed by the laws of India. Courts at Pune, Maharashtra
    shall have exclusive jurisdiction, subject to mandatory provisions of applicable law.

15. ACCEPTANCE RECORD
    Running ./scripts/deploy-remote.sh, ./scripts/package-binary-remote.sh,
    ./install.sh (customer bundle), or setting PACKETWOLF_LICENSE_ACCEPT after reading
    this file constitutes electronic acceptance. Licensor may record acceptance
    metadata (user, host, timestamp, license hash) for compliance.

16. AUTHORIZED SIGNATORY
    Software and licensing agreements may be executed by a duly authorized
    **Director** of Licensor per board resolutions and MCA records (SPICE+ SRN AC3303222).
