RAPIDLY SDK LICENCE AGREEMENT

This Software ("the Rapidly SDK") is proprietary commercial software
of Rapidly Labs AS, a company incorporated in Norway. Use of the SDK
requires a valid Rapidly licence issued by Rapidly Labs AS. Without a
valid licence, the SDK operates in a watermarked demo mode that audibly
degrades its output.

By downloading, installing, or using the SDK you agree to the terms below.

This Agreement, together with any separate commercial agreement you
have signed with Rapidly Labs AS, is the complete agreement governing
your use of the SDK. The Rapidly Privacy Policy at
https://www.rapidly.io/privacy describes how Rapidly Labs AS handles
the data described in this Agreement.

1. GRANT OF LICENCE
   Subject to a valid Rapidly licence and the terms of any separate
   commercial agreement with Rapidly Labs AS, you are granted a
   non-exclusive, non-transferable, non-sublicensable licence to:
     (a) embed the SDK binaries within your own end-user applications,
         products, or services;
     (b) load the audio model files distributed with the SDK or supplied
         to you by Rapidly Labs AS, but only the model identifiers and
         latency variants encoded in your Rapidly licence ("model
         entitlements").

2. LICENCE TYPES

   Rapidly Labs AS issues three kinds of key. All are registered with
   the SDK in the same way; the key determines how the SDK is
   authorised. Whichever key is used, audio is processed on the device
   and is never sent to Rapidly Labs AS.

   2.1 Licence Keys (lk_)
       A licence key is an offline credential that is either perpetual
       or carries an expiry date set by Rapidly Labs AS. It is verified
       on the device, and the models and latency variants it covers are
       enforced when a model is loaded. No network access is required
       or attempted.

   2.2 Subscription Keys (sk_)
       A subscription key is an online, usage-based credential. The SDK
       contacts the Rapidly licensing service to authorise processing,
       to report each end-user session, and to meter usage for billing,
       as described in section 3. You must keep the subscription key on
       your own backend; devices running the SDK obtain short-lived
       tokens from your backend and never hold the key itself. If the
       licensing service is unreachable, processing continues for a
       limited grace period and then produces watermarked output until
       contact is restored.

   2.3 Activation Keys (ak_)
       An activation key is for installations that run fully offline.
       Each device or installation contacts the Rapidly licensing
       service once to activate, sending only a hashed identifier of
       that unit, and then operates without any network access until
       its authorisation must be renewed. Renewal intervals are agreed
       with Rapidly Labs AS. Renewal is attempted automatically whenever
       the unit has internet access, and can also be requested
       explicitly. A unit whose authorisation has expired and has not
       been renewed produces watermarked output until renewal succeeds.

3. DATA REPORTED BY THE SDK

   With a licence key, the SDK reports nothing to Rapidly Labs AS.

   With a subscription key, the SDK reports to the Rapidly licensing
   service, at the start and end of each end-user session and
   periodically while it runs: a session identifier, the session's
   start and end times, the amount of processing time, whether the
   output was authorised or watermarked, the end-user identifier your
   application supplies, and the application or website origin the
   session token was issued for.

   With an activation key, each unit reports a hashed identifier of the
   unit, the time of activation or renewal, and any label or notes you
   attach to the key or the unit in your Rapidly account.

   In every mode the SDK reports no audio, no audio-derived content,
   and no information about what the audio contains. Rapidly Labs AS
   uses the reported data only to authorise the SDK, to meter and bill
   usage, to protect the licensing service from abuse, and to meet its
   legal obligations, as described in the Rapidly Privacy Policy. Any
   change to the data reported will be documented in the SDK
   documentation and changelog before it takes effect.

   You agree that:
     (a) the end-user identifier you supply must be an opaque value
         such as a random identifier or a hash. It must not be an email
         address, a name, a phone number, a device serial number, or
         anything else that identifies a person or a device on its own;
     (b) you are responsible for informing your own users about the
         SDK's reporting and for obtaining any consent that the law
         applicable to your application requires;
     (c) you will not alter, suppress, or falsify the data the SDK
         reports.

4. RESTRICTIONS
   You may not:
     (a) reverse engineer, decompile, disassemble, or otherwise attempt
         to derive the source code, signing keys, or model weights from
         the SDK or its model files, except to the extent that applicable
         mandatory law prohibits this restriction;
     (b) redistribute the SDK or any of its components as a standalone
         product, library, or service;
     (c) load model files, model identifiers, or latency variants not
         covered by your Rapidly licence, or attempt to bypass, disable,
         or circumvent licence verification, activation, renewal,
         session reporting, or watermarking;
     (d) remove, alter, or obscure any copyright, trademark, licence
         notice, or other proprietary marking on the SDK, its model
         files, or any accompanying documentation;
     (e) use the SDK in any manner that violates applicable law or any
         additional terms of your separate commercial agreement;
     (f) share a subscription key with any third party, embed it in an
         application or device distributed to end users, or hold it
         anywhere other than on your own backend systems.

5. UPDATES AND MODEL VERSIONS
   Rapidly Labs AS may release updates to the SDK binaries and to the
   model files. Patch revisions to a model file (same model_id, increased
   model_version) are covered by your existing Rapidly licence. Minor
   and major model revisions, which carry a new model_id, may require
   an upgraded or new Rapidly licence.

6. OWNERSHIP
   The SDK, its model files, and all related intellectual property are
   and remain the exclusive property of Rapidly Labs AS. Nothing in this
   Agreement transfers ownership of any intellectual property to you.

7. NO WARRANTY
   THE SDK IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
   IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF
   MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
   RAPIDLY LABS AS DOES NOT WARRANT THAT THE SDK OR THE RAPIDLY
   LICENSING SERVICE WILL BE UNINTERRUPTED, AVAILABLE, OR ERROR-FREE.
   WHERE THE LICENSING SERVICE CANNOT BE REACHED, THE SDK'S FALLBACK TO
   WATERMARKED OUTPUT AFTER THE GRACE PERIOD IS INTENDED BEHAVIOUR AND
   NOT A DEFECT. ANY AVAILABILITY COMMITMENT FOR THE LICENSING SERVICE
   IS GIVEN ONLY IN A SEPARATE COMMERCIAL AGREEMENT.

8. LIMITATION OF LIABILITY
   IN NO EVENT SHALL RAPIDLY LABS AS BE LIABLE FOR ANY INDIRECT,
   INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY
   LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATED TO
   THIS AGREEMENT OR THE SDK, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH
   DAMAGES. THE TOTAL AGGREGATE LIABILITY OF RAPIDLY LABS AS UNDER THIS
   AGREEMENT SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE RAPIDLY
   LICENCE COVERING THE PERIOD IN WHICH THE CLAIM AROSE.

9. TERMINATION AND SUSPENSION
   This Agreement terminates automatically upon expiry of your Rapidly
   licence, upon any material breach of this Agreement, or as specified
   in your separate commercial agreement with Rapidly Labs AS. For a
   subscription key, the licence also ends when the subscription is
   cancelled or lapses for non-payment. For an activation key, each
   unit's authorisation ends when it expires without renewal.

   Rapidly Labs AS may suspend or revoke a subscription or activation
   key on material breach of this Agreement, on non-payment, or where
   the key is being used in a way that threatens the security or
   integrity of the licensing service. While a key is suspended,
   revoked, or expired, the SDK produces watermarked output.

   Upon termination you must cease all use of the SDK and destroy all
   copies in your possession, except that devices already in the hands
   of your end users may continue to run the SDK in watermarked mode.

10. GOVERNING LAW
   This Agreement is governed by the laws of Norway, without regard to
   conflict-of-law principles. Disputes shall be resolved in the courts
   of Oslo, Norway.
